Terms of Service

Please read these Terms of Service carefully before using the Krauvix platform. By accessing or using Krauvix, you agree to be bound by these terms.
1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement betweenKrauvix LLC (“Krauvix,” “we,” “us,” or “our”) and the entity or individual (“Customer,” “you,” or “your”) accessing or using the Krauvix platform at app.krauvix.com (the “Service”).
By creating an account, clicking “I Agree,” or otherwise accessing the Service, you represent that (a) you have read and understood these Terms; (b) you have authority to bind the entity you represent; and (c) you agree to be bound by these Terms. If you do not agree, do not use the Service.
These Terms incorporate by reference our Privacy Policy, Data Processing Agreement, and any applicable Order Form or Statement of Work.
2. Description of Service
Krauvix is an AI-powered procurement enterprise resource planning (ERP) platform delivered as a software-as-a-service (“SaaS”). The Service enables businesses to manage procurement workflows including, but not limited to:
- Supplier management and risk intelligence
- Purchase order creation, approval, and tracking
- Contract lifecycle management and AI-assisted review
- Invoice processing and three-way matching
- Spend analytics and reporting
- AI-generated procurement recommendations and insights
The Service processes business data submitted by you, including supplier information, contracts, purchase orders, invoices, employee data, and financial data. Certain features use artificial intelligence to analyze this data on your behalf.
Krauvix reserves the right to modify, update, or discontinue features of the Service at any time with reasonable notice. Material changes that reduce core functionality will be communicated with at least thirty (30) days' notice.
3. Account Registration and Security
To access the Service, you must create an account and provide accurate, complete registration information. You agree to keep this information current.
3.1 Administrator Accounts
Each Customer organization designates one or more administrators who are responsible for managing user access, permissions, and settings within the platform.
3.2 Credentials and Security
You are responsible for:
- Maintaining the confidentiality of all account credentials
- All activity occurring under your account
- Immediately notifying Krauvix of any unauthorized access at security@krauvix.com
- Ensuring all authorized users comply with these Terms
3.3 User Accounts
Subscription licenses are per-seat and may not be shared among multiple individuals. Credentials are personal and non-transferable.
4. Subscription and Payment Terms
4.1 Subscription Plans
Krauvix offers monthly and annual subscription plans. Plan details, pricing, and included features are described at krauvix.com/#pricing and in any applicable Order Form.
4.2 Free Trial
Krauvix may offer a seven (7) day free trial period. No credit card charge occurs during the trial. After the trial, your subscription begins and the first billing cycle is charged.
4.3 Auto-Renewal
Subscriptions automatically renew at the end of each billing period (monthly or annual) unless cancelled at least five (5) business days before the renewal date. You authorize Krauvix to charge your payment method on file for each renewal.
4.4 Refund Policy
All fees are non-refundable except as expressly set forth herein. Krauvix does not offer refunds after the seven (7) day trial period. If you cancel your subscription, you retain access through the end of the paid billing period.
4.5 Price Changes
Krauvix may modify subscription prices with at least sixty (60) days' written notice before the change takes effect at your next renewal. Continued use after the effective date constitutes acceptance of the new pricing.
4.6 Taxes
All fees are exclusive of applicable taxes. You are responsible for all taxes, levies, or duties imposed by taxing authorities, excluding taxes on Krauvix's net income.
5. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Upload or transmit malware, viruses, or malicious code
- Attempt to reverse engineer, decompile, disassemble, or discover the source code of the platform or its AI models
- Share login credentials with unauthorized users
- Scrape, crawl, or systematically download platform data using automated tools
- Use the Service to develop a competing product
- Submit false, fraudulent, or misleading data that could harm suppliers, employees, or third parties
- Attempt to gain unauthorized access to other customer accounts or Krauvix systems
- Use the Service in any manner that could damage, disable, or impair its operation
Krauvix reserves the right to suspend or terminate accounts that violate this Acceptable Use Policy, with or without prior notice depending on the severity of the violation.
6. Data Ownership
6.1 Customer Data
You retain full ownership of all data, content, and information you submit to the Service (“Customer Data”). Krauvix processes Customer Data solely on your behalf and in accordance with your instructions, as further described in the Data Processing Agreement.
6.2 License to Krauvix
You grant Krauvix a limited, non-exclusive, worldwide license to access, process, store, and transmit Customer Data solely to: (a) provide and operate the Service; (b) improve service security and reliability; and (c) comply with legal obligations.
6.3 Aggregated Data
Krauvix may use aggregated, anonymized, de-identified data derived from Customer Data to improve the Service, develop new features, and generate benchmarking insights. Such data will not identify you or your organization.
6.4 Data Export
During your subscription, you may export your Customer Data at any time through the platform's built-in export tools.
7. AI Features Disclosure
7.1 AI Processing
Certain features of the Service use artificial intelligence, including large language models. For these features, Customer Data (including documents, contract text, supplier records, and procurement data) may be transmitted to Anthropic PBC (“Anthropic”) via their API for analysis and generation of AI-powered insights.
7.2 Anonymization and Minimization
Krauvix applies data minimization principles and anonymizes or redacts personally identifiable information where technically feasible before transmitting data to third-party AI providers.
7.3 Anthropic Terms
Data transmitted to Anthropic is subject to Anthropic's Privacy Policy and API usage policies. Anthropic does not use API-submitted data to train their models unless you separately opt in.
7.4 AI Output Disclaimer
AI-generated content (contract analysis, risk scores, recommendations) is provided for informational purposes only and does not constitute legal, financial, or professional advice. You are responsible for reviewing and validating all AI outputs before acting on them.
7.5 Opting Out
Customers may disable AI features that transmit data to third-party AI providers by contacting support@krauvix.com. Disabling these features may limit Service functionality.
8. Confidentiality
8.1 Mutual Obligation
Each party may receive confidential information of the other party in connection with the Service. Each party agrees to: (a) hold the other's confidential information in strict confidence; (b) use it only to perform obligations under these Terms; and (c) disclose it only to employees and contractors who need to know and are bound by equivalent confidentiality obligations.
8.2 Exclusions
Confidentiality obligations do not apply to information that:
- Is or becomes publicly known through no fault of the receiving party
- Was known to the receiving party before disclosure
- Is independently developed by the receiving party
- Is required to be disclosed by law or court order (with prompt prior notice)
8.3 Customer Data
Krauvix treats all Customer Data as confidential and will not access it except as necessary to provide the Service or as directed by you.
9. Intellectual Property
9.1 Krauvix Proprietary Rights
Krauvix LLC retains all right, title, and interest in and to the Service, including without limitation: (a) all software code, algorithms, and architecture; (b) the AI models, training methodologies, and inference systems; (c) the user interface design, visual elements, and user experience flows; (d) all procurement intelligence data, benchmarks, and derived analytics; (e) all documentation, trademarks, service marks, and trade names; (f) all improvements, modifications, and derivative works. 9.2 Strict Prohibitions
You expressly agree NOT to, and will not permit any third party to:
- Reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or AI models underlying the Service
- Copy, reproduce, distribute, republish, or create derivative works of any part of the Service, including screenshots used for competitive benchmarking
- Use the Service to build, directly or indirectly, a competing product or service
- Access the Service for purposes of monitoring its availability, performance, or functionality for competitive intelligence
- Scrape, crawl, spider, or data-mine the Service or its outputs
- Remove, alter, or obscure any copyright, trademark, or proprietary rights notices
- Use automated tools, bots, or scripts to access the Service
- Circumvent, bypass, or attempt to defeat any technical protection measures
- Sublicense, sell, resell, rent, or lease access to the Service
- Use any Krauvix trade name, trademark, or logo without prior written consent
9.3 Trade Secrets
The Service incorporates trade secrets belonging to Krauvix LLC, including proprietary AI procurement intelligence methodologies, supplier risk algorithms, spend analytics models, and platform architecture. You acknowledge that unauthorized disclosure or use of these trade secrets would cause irreparable harm and that Krauvix is entitled to injunctive relief without bond or other security in addition to all other remedies available at law or in equity.
9.4 Competitive Intelligence Prohibition
Customers who are employees, contractors, advisors, or investors of companies that compete with Krauvix in the ERP, procurement software, supply chain management, or logistics management markets are prohibited from using the Service to gather competitive intelligence. Krauvix reserves the right to terminate accounts suspected of competitive intelligence gathering immediately and without refund.
9.5 AI Training Prohibition
You may not use the Service, its outputs, or any data derived from the Service to train, fine-tune, or improve any artificial intelligence or machine learning model without express written consent from Krauvix LLC.
9.6 Feedback License
If you provide Krauvix with feedback, suggestions, feature requests, or ideas regarding the Service (“Feedback”), you hereby assign to Krauvix all right, title, and interest in such Feedback, and Krauvix may use it without restriction, compensation, or attribution.
9.7 License Grant
Subject to full compliance with these Terms and timely payment of all fees, Krauvix grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your own internal business operations during the subscription term. This license does not include any right to resell, white-label (except as explicitly enabled for Enterprise customers), or create derivative products.
9A. Injunctive Relief
You acknowledge that any breach of Sections 5, 8, or 9 of these Terms would cause irreparable harm to Krauvix for which monetary damages would be an inadequate remedy. Accordingly, Krauvix shall be entitled to seek immediate injunctive or other equitable relief in any court of competent jurisdiction, without the requirement of posting bond, in addition to all other remedies available at law.
10. Limitation of Liability
10.1 Exclusion of Indirect Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER KRAUVIX NOR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.2 Liability Cap
KRAUVIX'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, REGARDLESS OF THE FORM OF ACTION, WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO KRAUVIX IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS ($100).
10.3 Essential Basis
THE PARTIES ACKNOWLEDGE THAT THE LIMITATIONS IN THIS SECTION REFLECT A REASONABLE ALLOCATION OF RISK AND ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES.
11. Indemnification
11.1 Customer Indemnification
You agree to indemnify, defend, and hold harmless Krauvix and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) Customer Data (including any claim that Customer Data infringes a third party's intellectual property rights); or (c) your violation of applicable law.
11.2 Krauvix Indemnification
Krauvix agrees to indemnify and defend you against any third-party claims alleging that the Service, as provided by Krauvix and used in accordance with these Terms, infringes a third party's patent, copyright, or trademark, subject to your prompt notice of such claim and cooperation in defense.
12. Termination
12.1 Termination by Customer
You may cancel your subscription at any time through the account settings or by providing thirty (30) days' written notice to legal@krauvix.com. Cancellation takes effect at the end of the current billing period.
12.2 Termination by Krauvix
Krauvix may suspend or terminate your access immediately if: (a) you materially breach these Terms and fail to cure the breach within ten (10) days of notice; (b) you fail to pay fees when due; or (c) Krauvix is required to do so by law.
12.3 Effect of Termination
Upon termination:
- Your access to the Service ceases
- Customer Data will be retained for thirty (30) days to allow you to export it, after which it will be securely deleted
- Sections 6 (Data Ownership), 8 (Confidentiality), 9 (Intellectual Property), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Governing Law) survive termination
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Washington, without regard to conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Seattle, Washington.
The parties agree to attempt to resolve any dispute informally before initiating formal legal proceedings. Each party waives the right to a jury trial to the extent permitted by applicable law.
14. Changes to Terms
Krauvix reserves the right to modify these Terms at any time. We will provide at least thirty (30) days' notice of material changes via email or in-app notification. Your continued use of the Service after the effective date of changes constitutes acceptance.
For non-material changes (such as corrections, clarifications, or changes required by law), we may update the Terms with less notice. The “Last updated” date at the top of this page indicates when the Terms were last revised.
